Apakah sebenarnya peranan mereka?<\/h2>\n<p><img loading=\"lazy\" decoding=\"async\" class=\"aligncenter wp-image-29368 size-full\" src=\"https:\/\/www.smartrich.my\/home\/wp-content\/uploads\/2017\/08\/servicios-06-grande.jpg\" alt=\"\" width=\"870\" height=\"400\" srcset=\"https:\/\/www.smartrich.my\/home\/wp-content\/uploads\/2017\/08\/servicios-06-grande.jpg 870w, https:\/\/www.smartrich.my\/home\/wp-content\/uploads\/2017\/08\/servicios-06-grande-600x276.jpg 600w, https:\/\/www.smartrich.my\/home\/wp-content\/uploads\/2017\/08\/servicios-06-grande-300x138.jpg 300w, https:\/\/www.smartrich.my\/home\/wp-content\/uploads\/2017\/08\/servicios-06-grande-768x353.jpg 768w\" sizes=\"(max-width: 870px) 100vw, 870px\" \/><\/p>\n<h3><em>Setiausaha syarikat bertanggungjawab untuk membantu lembaga pengarah bagi memastikan syarikat mematuhi kehendak Akta Syarikat seperti:<\/em><\/h3>\n<ol>\n<li>Mengambil minit dan mempastikan ianya tersimpan dengan selamat.<\/li>\n<li>Mempastikan syarikat menyerahsimpan maklumat-maklumat dan dokumen-dokumen tertentu seperti pertukaran pengarah, retan tahunan dan akaun beraudit kepada Pendaftar Syarikat (SSM).<\/li>\n<li>Memberi nasihat kepada pengerusi syarikat dan para pengarah lain berkenaan pematuhan Akta Syarikat.<\/li>\n<\/ol>\n<p>Sebab itulah setiausaha syarikat dikira sebagai Pegawai (Officer) syarikat. Oleh yang demikian, mereka tidak boleh bersubahat dengan juruaudit syarikat dengan menawarkan perkhidmatan audit kepada syarikat kerana ini melanggar kehendak kebebasan juruaudit.<\/p>\n<p>Bagi syarikat yang besar, peranan setiausaha syarikat adalah lebih luas. Mereka juga menasihati lembaga pengarah berkenaan undang-undang dan peraturan yang berkaitan dengan industri yang diceburi oleh syarikat. Sebab itulah, ramai di antara setiausaha syarikat adalah peguam.<\/p>\n<p>Mereka juga sering dirujuk oleh lembaga pengarah berkenaan perkara-perkara yang berkaitan dengan susunatur tadbirurus dan bagaimana lembaga pengarah boleh berperanan dengan lebih efektif.<\/p>\n<p>Oleh itu, bila anda hendak memilih setiausaha syarikat anda, janganlah hanya memilih yang hanya menguruskan borang-borang berkanun sahaja. Mereka seharusnya boleh berperanan dengan skop yang lebih luas.
